Terms of Service

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Brod Analytics ("Brod Analytics," "we," "us," or "our") and the associated website, dashboard, and services (collectively, the "Service"). By creating an account, installing our app, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

The Service

Brod Analytics provides ecommerce analytics, attribution, reporting, and growth recommendation tools that connect to your online store (such as Shopify or BigCommerce) and, where you choose, additional marketing platforms (such as Klaviyo, Google Ads, or Semrush). Features, integrations, and pricing tiers may change over time as we improve the Service.

Accounts & Registration

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

Store & Platform Connections

When you connect a store or third-party platform, you authorize Brod Analytics to access data through that platform's official API using the permissions ("scopes") required to deliver the features you use. You represent that you have the right to connect the store or account and to authorize our access. You may disconnect a store or integration at any time from within the Service.

Subscriptions & Billing

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis as described at checkout. Except where required by law, fees are non-refundable. We may change subscription pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
• Use the Service to store or transmit data you do not have the right to share with us.

Data Ownership & License

You retain ownership of the store, customer, and business data you connect to the Service ("Your Data"). You grant Brod Analytics a limited license to access, process, and display Your Data solely to provide and improve the Service. We may use aggregated or de-identified data derived from Your Data to improve the Service and to identify patterns across our client base (for example, within the Spark SEO Engine). We do not disclose one Merchant's identifiable data to another Merchant. We do not sell Your Data. Our handling of personal information is described in our Privacy Policy.

Third-Party Services

The Service integrates with third-party platforms you choose to connect. We are not responsible for the availability, accuracy, or practices of those third-party platforms, and your use of them is governed by their own terms and privacy policies.

The Service uses artificial intelligence, including large language models provided by Anthropic, to generate recommendations, summaries, and content suggestions. AI-generated outputs are not automated decisions affecting individual customers of your store — classification, scoring, and ranking within the Service are performed by deterministic rule-based logic, and AI is used only to explain, summarize, or assist with content generation reviewed by you before use.

Our data processing obligations with respect to personal information in Your Data are set out in our Data Processing Addendum.

Intellectual Property

The Service, including its software, design, branding, and content (excluding Your Data), is owned by Brod Analytics and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

Termination

You may stop using the Service and disconnect your stores at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to use the Service ends, and we will handle Your Data in accordance with our Privacy Policy.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service, or any analytics, recommendations, or attribution data it produces, will be uninterrupted, error-free, or achieve any particular business outcome.

Limitation of Liability

To the maximum extent permitted by law, Brod Analytics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the twelve months preceding the claim.

Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles, unless otherwise required by applicable law.

Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Michigan, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will be conducted on an individual basis; you and Brod Analytics each waive any right to bring or participate in a class, collective, or representative action.
